iAUTO ENERGY EV CHARGING APP - END USER LICENCE AGREEMENT

This End User Licence Agreement is a legal agreement between you (User) and iAUTO ENERGY Pty Ltd, ABN 86 619 766 004 (“iAUTO ENERGY”, “we", "us", "our"), governing your access to and use of the iAUTO ENERGY mobile application and web portal (together, the "Platform"), including all related services that allow you to register an account, store payment information, locate and connect to electric vehicle supply equipment ("EVSE"), initiate and manage charging sessions, and be billed for electricity and associated fees.

By creating an account, accessing, or using the Platform, you agree to be bound by this Agreement. If you do not agree, do not use the Platform.

1. Eligibility
1.1 You must be at least 18 years old and have the legal capacity to enter binding contracts to use the Platform.
1.2 You must own or be authorised to charge the electric vehicle ("Vehicle") you connect to any EVSE via the Platform.
1.3 You are responsible for ensuring your Vehicle and charging cable are compatible with the EVSE you select and are in safe working condition.

2. Licence Grant
2.1 Subject to your compliance with this Agreement, iAUTO ENERGY grants you a limited, non-exclusive, non-transferable, revocable licence to download, install, and use the Platform on a compatible device for your personal, non-commercial use in connection with charging your Vehicle.
2.2 You must not: copy, modify, reverse engineer, or create derivative works of the Platform; resell, sublicense, or provide access to the Platform to third parties; use the Platform for any unlawful, fraudulent, or unauthorised commercial purpose; interfere with or disrupt the integrity or performance of the Platform, any EVSE, or the electricity network; or attempt to gain unauthorised access to the Platform, other user accounts, or connected EVSE hardware.

3. Account Registration
3.1 To use the Platform you must register an account and provide accurate, current, and complete information, including your name, contact details, and Vehicle details.
3.2 You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [SUPPORT EMAIL] of any unauthorised use.
3.3 We may suspend or terminate your account if information you provide is false, misleading, or incomplete, or if we reasonably suspect fraud or misuse.

4. Payment Information and Authorisation
4.1 To use charging services, you must add a valid payment method (credit card, debit card, or other supported method) to your account. Payment processing is handled by our third-party payment processor [PAYMENT PROCESSOR NAME]; iAUTO ENERGY does not store your full card number and relies on that processor's PCI-DSS compliant systems to do so.
4.2 By adding a payment method, you authorise iAUTO ENERGY to automatically charge that payment method for: the cost of electricity consumed during each charging session, calculated by session duration, energy delivered (kWh), and/or the applicable tariff at the EVSE used; any applicable connection, session, idle, or overstay fees; any subscription or membership fees you have elected to pay; and any other charges you incur through the Platform, including reasonable costs of recovering unpaid amounts.
4.3 Charging rates are displayed on the Platform prior to the start of a session but may vary by location, time of day, network operator, and demand. You are responsible for reviewing pricing before initiating a session.
4.4 If a payment is declined or a chargeback is initiated without valid cause, we may suspend your account and access to EVSE until the outstanding amount is paid, and may pass on reasonable dishonour or chargeback fees to you.
4.5 Refunds are considered on a case-by-case basis where a charging session fails due to a fault in the EVSE or the Platform. Where the Australian Consumer Law applies, nothing in this Agreement excludes, restricts, or modifies any consumer guarantee, right, or remedy you have under that law.

5. Use of EVSE and Charging Sessions
5.1 The Platform allows you to locate, reserve (where available), and remotely initiate or terminate a charging session at select EVSE operated by iAUTO ENERGY or third-party charge point operators ("Network Partners").
5.2 EVSE availability, functionality, and charging speed depend on factors outside our control, including the EVSE owner/operator, hardware condition, electricity network capacity, and Vehicle compatibility. We do not guarantee that any specific EVSE will be available, operational, or compatible with your Vehicle at any given time.
5.3 You must connect and disconnect your Vehicle safely and in accordance with any on-site instructions and the EVSE manufacturer's guidelines. You are responsible for any loss or damage caused by misuse of an EVSE, including damage to your Vehicle, the EVSE, or property of others.
5.4 Where an EVSE is owned or operated by a Network Partner rather than iAUTO ENERGY, that Network Partner's own terms of use may also apply to your use of that equipment, and iAUTO ENERGY acts only as an intermediary facilitating access and payment.
5.5 Vacate the charging bay promptly once your session ends where other users are waiting, and where an idle fee applies after full charge or after the reserved period expires, you accept that fee will be charged in accordance with clause 4.

6. Data and Privacy
6.1 We collect and handle your personal information, including registration details, Vehicle information, payment metadata, location and charging session data, in accordance with our Privacy Policy and the Australian Privacy Principles under the Privacy Act 1988 (Cth).
6.2 By using the Platform, you consent to us collecting, using, storing, and disclosing your information as described in our Privacy Policy, including sharing necessary data with payment processors and Network Partners to facilitate charging sessions and billing.
6.3 We implement reasonable technical and organisational measures to protect your personal and payment information, but no system is completely secure, and we cannot guarantee absolute security.

7. Intellectual Property
7.1 The Platform, including its software, design, trademarks, logos, and content, is owned by or licensed to iAUTO ENERGY and is protected by intellectual property laws. This Agreement does not transfer any ownership rights to you.

8. Availability and Modifications
8.1 We may modify, suspend, or discontinue any part of the Platform, including specific EVSE, features, or pricing structures, at any time, with or without notice, subject to applicable law.
8.2 We may update this Agreement from time to time. Material changes will be notified via the Platform or email, and continued use after the changes take effect constitutes acceptance.

9. Disclaimers
9.1 To the maximum extent permitted by law, the Platform and all charging services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
9.2 Nothing in this clause excludes, restricts, or modifies any guarantee, right, or remedy that cannot lawfully be excluded, including consumer guarantees under the Australian Consumer Law.

10. Limitation of Liability
10.1 To the maximum extent permitted by law, iAUTO ENERGY's total liability arising out of or in connection with this Agreement or your use of the Platform is limited, at our option, to resupplying the relevant service or refunding the amount you paid for the relevant charging session.
10.2 To the maximum extent permitted by law, iAUTO ENERGY is not liable for indirect, special, incidental, or consequential loss, including loss of profits, data, or Vehicle damage arising from third-party EVSE hardware or Network Partner conduct, except where such liability cannot be excluded by law.

11. Indemnity
11.1 You agree to indemnify and hold harmless iAUTO ENERGY, its officers, employees, and Network Partners from any claim, loss, or damage arising from your breach of this Agreement, misuse of the Platform or any EVSE, or violation of any law or third-party right.

12. Term and Termination
12.1 This Agreement commences when you first accept it and continues until terminated by either party.
12.2 You may terminate this Agreement at any time by closing your account. We may suspend or terminate your access immediately for breach of this Agreement, suspected fraud, non-payment, or misuse of EVSE.
12.3 Termination does not affect any accrued rights or obligations, including any unpaid charges.

13. Dispute Resolution
13.1 If a dispute arises out of or relates to this Agreement, the parties will first attempt to resolve it through good-faith negotiation by contacting [SUPPORT EMAIL] and allowing a reasonable period (at least 30 days) for resolution before commencing formal proceedings.
13.2 If the dispute is not resolved informally, it will be subject to the exclusive jurisdiction of the courts described in clause 14.

14. Governing Law
14.1 This Agreement is governed by the laws of [State/Territory], Australia, and the parties submit to the non-exclusive jurisdiction of the courts of that State/Territory and any courts entitled to hear appeals from those courts.

15. General
15.1 Entire Agreement: This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and iAUTO ENERGY regarding the Platform.
15.2 Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
15.3 Assignment: You may not assign or transfer this Agreement. We may assign this Agreement in connection with a merger, acquisition, or sale of assets.
15.4 Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control, including power outages, network failures, or acts of Network Partners.
15.5 Notices: We may provide notices to you via the Platform, the email address on your account, or push notification.

By registering an account or using the iAUTO ENERGY Platform, you confirm that you have read, understood, and agree to be bound by this Agreement.
